This course provides a comprehensive overview of the process of drafting and negotiating a convertible debt financing for start-ups. Participants will learn the key terms and provisions typically included in a convertible debt term sheet and how to negotiate these terms both from the perspective of the start-up and the venture capital investors.
Participants will also be introduced to SAFEs and other alternative convertible debt instruments and how they are used.
Finally, this course will touch on the due diligence process that typically accompanies a Series A round of financing.

2 CLE Credits are available for each course.
Participants will be asked to review and propose revisions to a [SAFE/convertible note] based on a set of facts relating to a hypothetical client’s goals and concerns. Participants will be asked to focus on a series of specific concerns and identify and explain for each: (1) the relevant provision(s); (2) any revisions, deletions, or additions the participant would make to the identified provisions; (3) any additional information needed to fully respond; and (4) any other conforming edits or additional documents needed to ensure the client is adequately protected.
